Contracts were once simple and straightforward, but thanks to overaggressive lawyers and accountants, profit definitions can now stretch more than 100 pages, requiring months of negotiations and leading to litigation over how much money actually is owed. Rightly or wrongly, studios are losing the recent cases that go to court. And widespread distrust of studio bean counters has contributed to the retreat of investors from Holly-wood and escalating demands by talent for higher upfront pay because they're skeptical of getting anything on the backend. The silliness of it all is that there is a perfectly logical alternative that is fair to both sides of the equation: tying participations directly or indirectly to U.S. box-office numbers as reported by Rentrak. To some extent, this is already happening in the form of box-office bonuses for talent; what I am proposing is expanding the concept to embrace all financing and talent participations. PHOTOS: Biggest Box Office Bombs I am not suggesting box office should be the endpoint, but it should be the starting point. If a star negotiates a 5 percent stake in a movie that has a box-office gross of $100 million, he or she gets $5 million -- simple. This formula could be supplemented by adjustments based on (a) the average ratio of DVD revenue to box-office gross at the time of payment, (b) the ratio of foreign revenue to U.S. revenue at the time of payment, (c) a preset distribution fee (calculated as a percentage of box office), (d) a preset distribution expense (as a percentage of box office) or (e) a preset production cost. But when I say "preset," I mean that in no event can any of the calculations be based on actual revenue or expenditures because that would drag us back to the current lunacy of endless negotiations, audits and litigation. Assume a studio intends to produce a $100million film but wants to limit its risk to $50 million. It raises $50 million of equity from an investor and agrees to fork over 50 percent of box office. If the film flops at the box office with only $10 million, the studio pays the investor $5 million, keeps the $45million balance of the outside investment and is happy. If the film gets to $100 million at the box office, the studio gives the investor a break-even payment of $50 million, and the studio is happy because it will keep worldwide rights and profits from a successful film. If the film scores big with $200 million in box office, the studio will pay the investor $100 million, and the studio is still happy because it accepted that possibility as a trade-off for reducing its risk. My approach creates a transparent system that allows actors and filmmakers to know their worth and investors to know the value of their investments just by opening the trades, rather than waiting for months only to receive accounting statements they don't understand. This approach eliminates the perceived opaqueness (right or wrong) of Hollywood accounting and leaves a spotlight on the thrill of "owning a piece" of a film. Private-equity funds would come back to Hollywood, talent negotiations would be easier and everyone would benefit because the more the studios can hedge risks, the more they can spend on a film and the more films they can make. Raising Hope saw a five percent boost in the demo, finishing Fox's night with a 2.3. The network averaged 15.5 million, with 9:00 p.m. offering of NCIS: LA earning its largest audience since the season premiere. NCIS topped all other shows among adults 18-49, earning a 3.5, followed by NCIS: LA (3.0) and Unforgettable (2.1). The latter was down 5 percent for a season low. NBC came in third, with a 2.2 for the night. The curiously-timed William & Kate: Inside the Royal Marriage special netted a 1.2 rating among adults 18-49, before a two-hour block of The Biggest Loser finale averaged a 2.3 in the demo, its best showing of the season. It this thing doesn't have a happy ending, than woe to mankind. I don't want to give away the whole story, but there is a device that could destroy our planet. It's up to the Seekers to ... and here it gets ambivalent. Some of them want the device to destroy the planet. That was the purpose of it, originally, ages ago. And some of the Seekers want to find the device and destroy it before it can blow up our planet because they think that Earth and the human race are worth saving. We really have the good Seekers versus the bad Seekers with our human heroes and incidental characters caught in between. THR: What are your thoughts on the talent that entered this MTV contest for The Seekers? Lee: I want to tell you, the great entries that we received bore out my belief that there are countless talented people among our legion of fans. People who, if they just get the chance, they could show what they're capable of. We had some really great entries. THR: What's it like to be able to give fans and aspiring writers and artists a chance to get into the comic book industry? Lee: It's a great feeling. I just wish that more people in entertainment found ways to give more opportunities to people who otherwise would never have a chance to show what they can do. Can you talk about what you looked for in the winners? Lee: Obviously, writing and artwork that was as close to professional writing and artwork as possible. From the writers, we looked for good dialog, good characterization, and a basic talent for telling an absorbing story; a good story sense. From the artists, we looked for illustrations that could be really favorably compared to the artwork in today's great comic books. THR: Now that you have the winners, can you explain how you will work with them in developing The Seekers comic moving forward? Lee: I'm certainly going to do my best to make this one of the best comic books to be published in 2012 or any year. I'll be meeting with them. I'll be going over the story as it's written. I'll be looking and critiquing the artwork. We haven't started yet, but I can't wait until we do get started. THR: Comic books are very popular today in Hollywood. What are your thoughts on the potential for evolving The Seekers beyond comics into traditional entertainment like film and television? Lee: It's like anything else; if the books turn out as great as I hope they will, then a filmed version would be a no-brainer. Movie producers are always looking for the next big thing, and they really very carefully scan graphic novels and comic books all the time hoping to find something that would make a good movie, and sometimes a good TV series. We will always have that in mind as we're working on The Seekers. THR: We've seen comics migrate to video games, as well. Why would The Seekers make a good video game down the line? Lee: A good video game needs great characters that the player can relate to and great powers that the characters have, which are visually exciting and fun to use when you're holding that controller, hitting those keys, and making the character do what he has to do. They also love great backgrounds. The players also love themes they haven't played before. I think The Seekers qualify in all these areas. THR: What are your thoughts on the opportunities that exist today for aspiring comic book creators versus what was around when you started in the industry? Lee: Honestly, it's much tougher today. There's more competition, and there are better competitors. Comic books are now thought to be the source of great movies. Many people will want to become screenwriters, directors, producers, and whatever. They feel if they could become involved with or create a good comic book, that it will be noticed and turned into a movie. THR: What are the ingredients to succeed as comic book writer? Lee: To be a great comic book writer, within that comic book story, you've got to be able to make your characters come alive. They've got to be interesting. Matt's Guide to Thursday TV: Pick Parks Over Gentleman

Amy Poehler and Adam Scott It will be a sad day in TV land if (as Nielsen history suggests) the powerhouse of CBS' The Big Bang Theory helps deliver the abysmal new How to Be a Gentleman a ratings win over NBC's little-show-that-could-do-better Parks and Recreation.Here's my Fall Preview take on How to Be a Gentleman (CBS, 8:31/7:31c), a misfire that almost makes me miss last year's Bleep My Dad Says, which wasted the same time period: "Felix and Oscar should sue. The overused Odd Couple premise gets one of its more cringeworthy sitcom workouts in the latest assault on the male mystique - caricatured as a squeaky-voiced priss and a bellowing gym-bunny boor. Actually, mankind should sue." To elaborate: David Hornsby plays a metrosexual metropolitan fusspot whose world is rocked when the magazine he writes for changes focus from urbane to youth-pandering drivel. To "man up" (one of the season's dreariest trends, and the title of an equally awful upcoming sitcom on ABC), he turns to a gym trainer who turns out to be a former high-school bully, broadly played by Kevin Dillon in a role the Entourage crew would have mocked. It couldn't be more forgettable, but what's really irksome is the waste of a strong supporting cast, including 24's Mary Lynn Rajskub as Hornsby's sardonic sister and Flight of the Conchords' Rhys Darby as her mewling husband.Want more Matt Roush? Understatements. Patricia Clarkson is a severe scream as this icy menace, wielding an IRS audit as a weapon. (My admiration for this actress grows each time I see her. Having just watched her Emmy-worthy performance in the upcoming Lifetime movie anthology Five, as a woman facing breast cancer with savage wit and a love for life, her range never fails to astound.)The impact Tammy One has on Ron's personality and trademark look are so alarming, Leslie literally is forced to try to slap some sense into him. Hearing Nick Offerman say, "Leslie, you're a panic" is itself a panic. Can Tammy Two (Megan Mullally) be the "Mothra" to Tammy One's "Godzilla"? Will the original Tammy - a mountain mama seemingly modeled after Margo Martindale's Justified character - be able to rescue Ron in a climactic battle royale? I wish I were as entertained by the ongoing subplot involving Tom's ridiculous new entertainment venture, but for those back in the office trying to bring Ron back into the light, this is about as funny as it gets.So what else is on? ... Sounds like a formula for disaster on CBS' The Big Bang Theory (8/7c), as Leonard agrees to be Amy's date at a wedding. ... It's flashback time on the CW's The Vampire Diaries (8/7c), as Klaus and Stefan's road trip to Chicago triggers memories of the Roaring (and Biting) '20s, when Stefan was still a Wild Young Vamp. ... Another flashback alert, as the second episode of CBS' intriguing Person of Interest (9/8c) finds Finch (Michael Emerson) reflecting on The Machine's origins. ... Swiss pick 'Giochi d'estate' for Oscar race

BERLIN -- Rolando Colla's "Giochi d'estate" (Summer Games) has been selected as Switzerland's candidate for the foreign- language film Oscar. The coming-of-age film, which bowed in Venice, centers on a teenage boy struggling with an abusive father and dealing with first love while on summer holiday on Italy's Tuscany coast. The pic was chosen by a special jury and announced at the Delemont-Hollywood film festival in Delsberg. "Summer Games" was produced by Zurich-based Peacock Film. The Swiss entry will benefit from a 60,000 Swiss francs ($66,813) financial contribution for a promotional campaign, according to the Federal Culture Office. The deadline for Oscar foreign-language film submissions is Monday. Roman Polanski Returns to Zurich for Ovation After Arrest

Two years after he'd been arrested in Zurich, Roman Polanski received a 10-minute standing ovation at the Zurich Film Festival as he accepted a lifetime achievement award. "Better late than never," he said on finally being able to accept the award in person. In 2009, he was placed under house arrest when he arrived in Switzerland and nearly extradited to the U.S. for outstanding sexual assault charges. The 78-year-old is also the subject of a "secret" new documentary that had its world premiere at the festival. In the documentary, called 'Roman Polanski: A Film Memoir,' he narrates his own life story, up to and including his extradition trial. It was shot during his house arrest by Laurent Bouzereau, who specializes in "making of" documentaries on films from 'Avatar' to 'Jaws.' No critical reactions on the documentary, which screened after the awards ceremony, have surfaced yet, but critics have been raving about his other new film, 'Carnage,' starring Kate Winslet, Jodie Foster and Christoph Waltz. It premiered September 1 at the Venice Film Festival and is getting some of the best reviews since 2002's 'The Pianist,' the film that earned him his first Best Director Oscar. The Polish-born director has lived in Europe since 1978; he fled the U.S. after pleading guilty to sexually assaulting a 13-year-old girl. When he entered Switzerland in 2009, he was arrested but, after a lengthy house arrest and trial, was freed without being extradited to America. [via THR 1, 2]
